Many UAE SMEs planned for Small Business Relief to end on 31 December 2026 and for 9% Corporate Tax to start biting in 2027. That date has moved, but the relief can still be lost in a single year, and once it is gone it does not come back. This guide explains the extension of UAE small business relief, who still qualifies, and what to put in place before your 2026 books close.

What changed: the extension of UAE small business relief to 2029
The original rules in Ministerial Decision No. 73 of 2023 set an AED 3 million revenue threshold. They covered tax periods starting on or after 1 June 2023 and ending on or before 31 December 2026.
On 7 August 2026, the Ministry of Finance announced Ministerial Decision No. 131 of 2026. It extends the relief to tax periods ending on or before 31 December 2029. The AED 3 million threshold is unchanged.
So 2027 is no longer the year small businesses move to full Corporate Tax. But the relief is still temporary, so plan for its end.
Who qualifies, and who never does
According to the FTA, Small Business Relief is open to Resident Persons, both companies and individuals doing business. To qualify, you need:
- Revenue of AED 3,000,000 or less in the current tax period, and
- Revenue of AED 3,000,000 or less in every previous tax period since the regime began
The second condition catches people out. The FTA's own example is a business with AED 4.3 million revenue in 2025 and AED 1.9 million in 2026. It cannot elect for 2026, because one earlier year was over the line.
Two groups are excluded whatever their revenue:
- Qualifying Free Zone Persons
- Members of a multinational enterprise (MNE) group with consolidated group revenue above AED 3.15 billion
There is also an anti-abuse rule. If the FTA decides a business was artificially split to keep each part under AED 3 million, the relief can be denied, and penalties may follow.
What electing the relief actually means
UAE small business relief is not automatic. You must elect it in your Corporate Tax return, separately for each tax period. You still have to register for Corporate Tax and file a return on time.
If you elect, you are treated as having no taxable income for that period. The trade-offs are real:
- Other exemptions, reliefs and deductions are not available for that period
- Tax losses from that period cannot be carried forward
- Disallowed net interest expenditure from that period cannot be carried forward
For a start-up making losses now and expecting profits later, electing is not always the better option. Model both routes before you file. Our Finance & VAT advisory team can run that comparison for you.
Transfer pricing basics for related parties
Small does not mean exempt from transfer pricing. The FTA states that businesses electing the relief do not need transfer pricing documentation, but they must still follow the arm's length principle.
In plain terms, sales, loans, rent or management fees between you and related parties must be priced as if between unrelated businesses. This covers transactions with owners, family members, sister companies and connected persons.
Typical risk areas we see in owner-managed businesses:
- Rent paid to the owner for a property the company uses
- Interest-free loans from the shareholder or a sister company
- Shared staff or office costs between group companies with no recharge
- Goods sold to a related trading company at cost
Write down how each related-party price was set. You will need this history if you leave the relief.
Your year-end 2026 checklist
Closing 2026 well protects your eligibility for 2027 and beyond. Work through these steps before your books close:
- Confirm your Corporate Tax registration. The penalty for late registration is AED 10,000.
- Measure revenue properly. Revenue follows the accounting standards accepted in the UAE, not just bank deposits. Reconcile sales, credit notes and other income.
- Check every prior period. Confirm no earlier tax period exceeded AED 3 million. One breach ends eligibility.
- Track revenue monthly in 2027. If you are near AED 3 million, you need to see it coming, not discover it at year-end.
- List related-party transactions. Record the counterparty, amount and pricing basis for each.
- Keep supporting records. Invoices, ledgers, bank statements and contracts should be retained for seven years.
- Diarise the return. The Corporate Tax return is generally due within nine months of the tax period end. Late filing penalties start at AED 500 per month.
- Decide on the election. Compare the relief with carrying losses forward, then elect, or do not, in the return.
How Odoo keeps you ready for full Corporate Tax
The extension buys time. The best use of it is to get your accounting into a state where full Corporate Tax would be routine, not a crisis. That is where Odoo 19 helps.
A Corporate Tax-ready chart of accounts. Odoo's UAE fiscal localisation gives you a local chart of accounts and VAT setup. We extend it with accounts that separate items the Corporate Tax return treats differently, such as entertainment, fines, related-party charges and interest. We cover the setup in detail in UAE Corporate Tax in Odoo — Configuring It Properly.
Analytic tracking. Analytic accounts let you tag revenue and costs by branch, activity or related party. That makes it simple to list related-party transactions, or to spot an activity that might fall under different rules.
Revenue monitoring. A simple dashboard showing rolling revenue against the AED 3 million line gives the owner an early warning. Our guide to dashboards finance teams actually use shows how to keep this useful rather than decorative.
Audit trail and documents. Every invoice, bill and payment sits in one system with its source documents attached. That makes the seven-year retention rule far easier to meet.
If your books still live in spreadsheets or an older desktop package, now is a good time to move. Our article on migrating from Tally to Odoo explains what to bring across. If cost is the question, see our honest breakdown of Odoo implementation cost in the UAE.

Plan for 2027 beyond Corporate Tax
Corporate Tax is not the only change on the way. The UAE's e-invoicing programme is also being phased in from 2027. Our guide to UAE e-invoicing deadlines and ASPs sets out the timeline.
Clean master data, a well-structured chart of accounts and disciplined invoicing serve all of these obligations at once. Fixing them once in your Odoo ERP implementation costs far less than patching them for each new rule.
Frequently asked questions
Does UAE small business relief still end on 31 December 2026?
No. Ministerial Decision No. 131 of 2026 extended it to tax periods ending on or before 31 December 2029. The AED 3 million threshold is unchanged.
If I elect the relief, do I still need to file a Corporate Tax return?
Yes. You must register, file a return for each tax period, and make the election in that return. The relief does not remove filing duties.
Can a Free Zone company claim Small Business Relief?
A Qualifying Free Zone Person cannot. A free zone company that is not a Qualifying Free Zone Person may be eligible if it meets the revenue conditions.
What happens if my revenue goes over AED 3 million once?
You lose eligibility for that period and all later periods. The test looks at the current period and every previous one.
Do I need transfer pricing documentation if I elect the relief?
No documentation is required, but your related-party transactions must still be at arm's length.
