UAE Free Zone Corporate Tax: Keeping the 0% Rate, and Tracking Qualifying Income in Odoo

A UAE free zone licence does not, on its own, mean 0% Corporate Tax. The 0% rate belongs to a Qualifying Free Zone Person (QFZP), and that status is tested every tax period. Lose it once and, under the FTA's guidance, you lose it for that period and the four that follow.

This guide explains the rules in plain language and shows how to set up Odoo so finance can see, every month, whether the business is still on the right side of them. New to Odoo? Watch What is Odoo? in a minute.

The short version

  • A QFZP pays 0% on qualifying income and 9% on taxable income that is not qualifying.
  • Non-qualifying revenue must stay below the de minimis limit: 5% of total revenue or AED 5 million.
  • The test is about who you sell to and what activity you perform, so it lives in your customer, product and account data.
  • If Odoo tags those three correctly, the de minimis check becomes a monthly report, not a year-end surprise.

Who counts as a Qualifying Free Zone Person

Article 18 of the Corporate Tax Law sets the conditions. The Cabinet and Ministerial Decisions issued in November 2023 (Cabinet Decision No. 100 of 2023 and Ministerial Decision No. 265 of 2023, effective from 1 June 2023) define the detail (KPMG summary). In short, a free zone entity must:

  • Keep adequate substance in the free zone: core income-generating activities, qualified full-time staff, assets and operating costs.
  • Derive qualifying income.
  • Stay within the de minimis limit for non-qualifying revenue.
  • Comply with transfer pricing rules and documentation.
  • Not elect to be taxed at the standard rate, and prepare audited financial statements.

Two points owners often miss: the AED 375,000 0% band that mainland companies enjoy does not apply to a QFZP's non-qualifying income, and Small Business Relief is not available to a QFZP. Our guide to UAE Small Business Relief explains who it does suit.

The de minimis rule: the number to watch

Non-qualifying revenue must not exceed 5% of total revenue or AED 5 million, whichever is lower (BDO). Some revenue is left out of the test: income attributable to a domestic or foreign permanent establishment, and income from free zone immovable property that cannot be qualifying, is taxed at 9% but disregarded for de minimis purposes (PwC summary of the FTA guide).

If the limit is breached, the FTA guide says the entity stops being a QFZP from the start of that tax period and for the following four periods (KPMG on the FTA guide). For a growing company, that is five years of 9% on profit it expected to be taxed at 0%.

Qualifying or not: a quick guide

Type of incomeHow it is usually treated
Sales to another free zone person that is the beneficial recipient (not an excluded activity)Qualifying, 0%
Qualifying activities with mainland or foreign businesses, such as manufacturing, logistics services, or distribution in or from a designated zone (conditions apply)Qualifying, 0%
Other services or trading with mainland businessesNon-qualifying, 9%, counts in the de minimis test
Transactions with individuals (limited exceptions, e.g. regulated fund and wealth management)Excluded activity, 9%, counts in the de minimis test
Income of a permanent establishment, or free zone property income that cannot qualify9%, left out of the de minimis test

This table simplifies detailed rules. Your own classification should be agreed with your tax adviser and documented.

Why this becomes a bookkeeping problem

The test depends on three facts for every invoice line: who the customer is (free zone person, mainland business or individual), what activity the line belongs to, and whether it relates to a permanent establishment or property. If those facts live only in someone's head or in a spreadsheet built in month twelve, nobody knows how close the business is to the limit until it is too late to act.

Setting up Odoo to track qualifying income

1. Classify every customer

Add a required field or tag on the contact: free zone person, designated zone, mainland business, foreign business or individual. Make it mandatory before the first invoice, so the classification is captured once and reused.

2. Separate revenue accounts

Split revenue in the chart of accounts by treatment: qualifying, non-qualifying, permanent establishment and property income. Product categories can carry the right income account, so the salesperson never chooses it. Our post on configuring UAE Corporate Tax in Odoo covers the wider chart of accounts.

3. Use an analytic plan for activities

An analytic plan with one account per qualifying activity (for example distribution, logistics, headquarter services) lets you report revenue and costs by activity. That also supports the substance discussion: staff and expenses sit next to the income they produce.

4. A monthly de minimis report

Build one pivot or spreadsheet view in Odoo: non-qualifying revenue year to date, divided by total tested revenue, against both limits (5% and AED 5 million). Add it to the month-end close checklist so the number is reviewed every month, not once a year.

5. Keep records audit-ready

A QFZP must keep its Corporate Tax records for seven years and produce audited financial statements. Attach contracts, designated zone documents and customer evidence to the records in Odoo, so the auditor finds them in one place.

Common mistakes

  • Treating every free zone customer as qualifying, without checking that they are the beneficial recipient.
  • Selling a few services to individuals or mainland clients and never measuring the total.
  • Using one revenue account for everything, then rebuilding the split at year end.
  • Assuming the licence activity list settles the question. The tax test looks at the actual transactions.
